The agreement between you and Handover HQ governing access to and use of the Service

1. Acceptance of Terms
These Terms of Service (Terms) constitute a legally binding agreement between you (you or your) and Handover HQ Pty Ltd (ABN 34 689 167 477 · ACN 689 167 477) (Handover HQ, we, us, or our) governing your access to and use of the handoverhq.com and handoverhq.ai websites, the Handover HQ platform, and all related services (collectively, the Service).
By accessing or using the Service, including by signing up for a free trial, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and references to "you" include that organisation.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
Handover HQ is an AI-powered employee knowledge capture and transfer platform. The Service enables organisations to capture, preserve, and transfer institutional knowledge when employees depart, through features including exit questionnaires, document and artifact collation, AI-powered summarisation and sentiment analysis, intelligent voice interviews, quality scoring, IT equipment automation, custom workflows, and integration with external systems.
The specific features available to you depend on your subscription plan or free trial allocation, as detailed on our Pricing Page at handoverhq.com/pricing (or handoverhq.ai/pricing).
3. Account Registration
3.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. The Service is intended for use by organisations and their authorised representatives.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at enquiries@handoverhq.com / enquiries@handoverhq.ai if you become aware of any unauthorised use of your account.
3.3 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.
4. Free Trial
4.1 Trial Period
Handover HQ offers a free trial period of three (3) months (the Free Trial) commencing on the date you successfully register for an account and activate the trial (the Trial Start Date). The Free Trial allows you to evaluate the Service before committing to a paid subscription.
4.2 Trial Entitlements
During the Free Trial, you will receive a defined allocation of Handover Credits and access to features as specified on our Pricing Page at the time of registration. The Free Trial entitlements are provided at no cost and are intended solely for evaluation purposes. Handover HQ reserves the right to modify the features and credit allocations included in the Free Trial at any time.
4.3 No Payment Required During Trial
You are not required to provide payment information to commence the Free Trial. No charges will be incurred during the Free Trial period unless you voluntarily elect to upgrade to a paid subscription before the trial expires.

4.6 Trial Notifications
We will send you notifications at key points during the Free Trial, including a welcome notification upon activation, a reminder at approximately the mid-point of the trial, and advance notice prior to trial expiry. These notifications will be sent to the email address associated with your account.
5. Subscriptions and Handover Credits
5.1 Subscription Plans
The Service is offered through subscription plans as described on our Pricing Page. Each plan includes a monthly allocation of Handover Credits. One (1) Handover Credit entitles you to process one (1) complete employee knowledge capture and transfer through the platform.
5.2 Credit Usage and Expiry
Handover Credits are allocated monthly on the anniversary of your subscription start date. Unless your plan includes credit rollover, unused credits expire at the end of each billing cycle and are not refundable. Credit rollover periods vary by plan as described on the Pricing Page.
5.3 Overage Credits
If you exhaust your monthly credit allocation, you may purchase additional Handover Credits at the overage rate applicable to your plan. Overage charges are billed at the end of each billing cycle. You may set spending limits on overage consumption through your account settings.
6. Payment Terms
6.1 Fees
Fees are charged in Australian Dollars (AUD) and are payable in advance on a monthly or annual basis, depending on your chosen billing cycle. All fees are exclusive of applicable taxes, which will be charged in addition where required by law.
6.2 Billing
You authorise us (or our payment processor) to charge the payment method associated with your account for all applicable fees. If payment fails, we will notify you and may suspend your access to the Service until payment is received.
6.3 Refunds
Subscription fees are non-refundable except where required by Australian Consumer Law or other applicable consumer protection legislation. Unused Handover Credits are not refundable upon cancellation or downgrade. For the avoidance of doubt, the Free Trial is provided at no cost and no refund obligation arises in relation to the Free Trial.
6.4 Price Changes
We may change our pricing from time to time. We will provide you with at least thirty (30) days' notice of any price increase. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including all software, algorithms, AI models, design, text, graphics, and other content provided by Handover HQ, is owned by or licensed to us and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited licence to use it in accordance with these Terms.
7.2 Your Content
You retain ownership of all content, data, and materials that you submit to the Service (Your Content). By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, store, and display Your Content solely for the purpose of providing and improving the Service.
7.3 AI-Generated Outputs
The Service generates AI-powered outputs including summaries, sentiment analysis, quality scores, and knowledge transfer documents (Outputs). As between you and Handover HQ, you own the Outputs generated from Your Content, subject to any underlying intellectual property rights of third parties. You acknowledge that Outputs are generated by artificial intelligence and should be reviewed for accuracy before reliance.
8. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree to comply with the Acceptable Use Policy at all times, including during the Free Trial.
9. Privacy and Data Protection
Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.
Where you submit personal information of third parties (such as departing employees) through the Service, you represent and warrant that you have obtained all necessary consents and authorisations, and that your use of the Service complies with all applicable privacy and data protection laws. This obligation applies equally during the Free Trial and paid subscription periods.
10. Disclaimers
10.1 Service Availability
The Service is provided on an "as is" and "as available" basis, including during the Free Trial. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
10.2 AI Outputs
You acknowledge that AI-generated Outputs may contain inaccuracies or errors. Handover HQ does not guarantee the accuracy, completeness, or reliability of any Output. You are solely responsible for reviewing and validating Outputs before making decisions based on them.
10.3 Australian Consumer Law
Nothing in these Terms is intended to exclude, restrict, or modify any guarantee, right, or remedy that cannot be excluded, restricted, or modified under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable consumer protection legislation.
11. Limitation of Liability
To the maximum extent permitted by law, Handover HQ's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service (including during the Free Trial) shall not exceed the greater of: (a) the total fees paid by you to Handover HQ in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred Australian dollars (AUD $100).
To the maximum extent permitted by law, Handover HQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, however caused, whether in contract, tort, or otherwise.
12. Indemnification
You agree to indemnify, defend, and hold harmless Handover HQ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service (including during the Free Trial); (b) your breach of these Terms; (c) your violation of any applicable law; or (d) Your Content, including any claim that Your Content infringes the rights of a third party.
13. Suspension and Termination
13.1 By You
You may cancel your subscription or free trial at any time through your account settings or by contacting us at enquiries@handoverhq.com / enquiries@handoverhq.ai. If you cancel during the Free Trial, your access will continue until the end of the trial period. If you cancel a paid subscription, cancellation takes effect at the end of your current billing period.
13.2 By Us
We may suspend or terminate your access to the Service (including during the Free Trial) immediately if: (a) you breach these Terms or the Acceptable Use Policy; (b) your account is overdue for payment; (c) we are required to do so by law; or (d) we reasonably believe your use poses a security risk to the Service or other users.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will make Your Content available for export for a period of thirty (30) days following termination, after which it may be permanently deleted. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property, limitation of liability, indemnification, and dispute resolution.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Australia. Any legal proceedings arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.
14.2 Informal Resolution
Before initiating formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at enquiries@handoverhq.com / enquiries@handoverhq.ai. We will endeavour to resolve disputes within thirty (30) days of notification.
